By accessing or utilizing our website, platform interfaces, algorithmic models, data analytics, and associated services (collectively, the "Platform"), you agree to be bound by these Terms. The Platform is controlled, operated, and maintained from within the United States. We make no representation that materials or technologies provided via the Platform are legal or appropriate for use in jurisdictions where such distribution or utilization violates applicable local statutory provisions.

3. Software Description & Scope of Services

Nullypto AI provides users with computational software tools, automated algorithmic market monitoring, trade signal processing capabilities, and digital asset analytics across supported blockchain networks and market feeds. You acknowledge and agree that:

• Nullypto AI provides technological software solutions and does not operate as an investment adviser, broker-dealer, custodian, or financial planner.
• All automated risk parameters, stop-loss triggers, and algorithmic execution presets remain subject to prevailing market liquidity, latency, and exchange counterparties.
• We do not hold custody of user fiat funds or crypto assets; trading interactions occur via third-party exchange APIs configured at your sole direction.

4. No Investment or Financial Advice

All information, signals, statistical backtests, telemetry data, and insights provided through the Platform are for educational, analytical, and informational purposes only. Nothing contained within the Platform constitutes personal investment recommendations, financial advice, tax guidance, or solicitation of securities. You bear sole responsibility for evaluating the merits and risks associated with the use of any operational information or mathematical modeling outputs.

5. Account Registration and Access Security

When accessing platform credentials or API integrations, you agree to supply authentic, precise, and current information. You are exclusively responsible for safeguarding your security credentials, API secrets, two-factor authentication devices, and account passwords. You agree to notify Nullypto AI immediately upon becoming aware of any unauthorized access or breach of security related to your account.

6. Prohibited Activities

You agree not to engage in any prohibited conduct, including without limitation:

• Reverse engineering, decompiling, or attempting to derive the underlying source code of our proprietary machine learning algorithms;
• Circumventing platform authentication protocols, rate limits, or network defenses;
• Deploying automated scrapers, bots, or harvesting mechanisms without express written permission;
• Using the platform for money laundering, unlawful transactions, or violation of United States or international sanctions programs;
• Reselling, sublicensing, or distributing access to third parties without prior written approval.

7. Market Volatility and Operational Disclaimers

The Platform is provided strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. Cryptocurrency and financial asset markets exhibit acute volatility. Network congestion, slippage, algorithmic errors, hardware downtime, and exchange maintenance windows can result in unanticipated loss of principal. Nullypto AI disclaims any warranty regarding platform uninterruptedness, algorithmic infallibility, or profitability.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Nullypto AI, its officers, directors, employees, affiliates, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, trading losses, goodwill, data, or other intangible losses arising out of or related to your use of or inability to use the Platform. Our cumulative liability for all claims shall not exceed the amount paid by you to Nullypto AI during the three (3) months preceding the event giving rise to liability.

9. Intellectual Property Rights

All software architectures, user interfaces, documentation, trade secrets, trademarks, visual marks, logos, and algorithms displayed or implemented on Nullypto AI are the exclusive intellectual property of Nullypto AI and its licensors. You are granted a limited, revocable, non-exclusive, non-transferable license to access the Platform solely in accordance with these Terms.

10. Termination and Suspension

We reserve the right to suspend or terminate your platform access immediately, without prior notice or liability, for any reason, including breach of these Terms, suspicion of fraudulent conduct, or compliance with regulatory mandates. Upon termination, your right to use the Platform will cease immediately.

11. Governing Law & Dispute Resolution

These Terms and any disputes arising out of or related to your use of the Platform shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without giving effect to conflict of law principles. Any legal suit, action, or proceeding shall be instituted exclusively in federal or state courts located within Delaware, and you irrevocably submit to the jurisdiction of such courts.
